SNDL Q3 Revenue Slips as Cannabis Operations Takes $52M Impairment

SNDL Inc (SNDL ). reported net revenue of $238.0 million for the third quarter ended September 30, 2026, down 2.5% from the same period a year earlier, and an operating loss of $48.3 million after recording a $52 million non-cash goodwill impairment tied to its Cannabis Operations segment, according to the company’s third-quarter 2026 results release, issued October 27, 2026. All figures are in Canadian dollars unless otherwise noted.
Gross profit fell 9.8% to $57.9 million, a decline of $6.3 million, and gross margin narrowed 2.0 percentage points to 24.3%, which the company attributed primarily to weak performance in Cannabis Operations. Net loss widened to $50.8 million from $13.3 million a year earlier, while adjusted EBITDA was $15.8 million compared with $18.1 million. Adjusted operating income, which excludes impairment charges and restructuring costs, returned to positive territory at $5.2 million, an improvement of $14.8 million. SNDL said free cash flow reached a quarterly record of $20.0 million, up $3.3 million or 19.5%, including a $10.6 million benefit from the initial unwinding of its captive insurance arrangement. Overall cash flow was negative $50.7 million, reflecting $60.8 million of strategic investments in the United States and $10.0 million of additional share repurchases.
“Our third quarter results demonstrate improvement in SNDL’s underlying financial performance, including positive adjusted operating income and record quarterly free cash flow generation,” said Zach George, Chief Executive Officer of SNDL. George said Cannabis Retail delivered record quarterly revenue and gross margin, Liquor Retail reached a record quarterly gross margin, and the Investments segment benefited from improved results from equity-accounted investees.
Segment Results
Cannabis Retail revenue rose 0.7% to $85.6 million, a level the company described as a quarterly record, with gross margin of 27.0%, also a record, and operating income of $5.2 million. SNDL said market contraction in its largest provinces, Ontario and Alberta, drove a 3.8% decline in same-store sales, partially offset by incremental revenue from new stores and Value Buds conversions. As of October 26, 2026, the company operated 193 cannabis retail locations: 133 Value Buds and 60 Spiritleaf stores, of which four are corporate and 56 are franchise.
Subject to completion of definitive documentation and payment of a $200,000 monetary penalty, SNDL said the anticipated resolution of regulatory matters involving the Alcohol and Gaming Commission of Ontario is expected to allow the Value Buds franchise network to resume growth in Ontario following a pause of more than a year. The contemplated structure is expected to deconsolidate the Ontario retail operations from SNDL’s financial statements while substantially preserving the company’s net economics from those franchise locations, without SNDL retaining control over retail operations in the province, the company said.
Liquor Retail revenue declined 3.3% to $134.8 million as same-store sales fell 6.0%, with the company citing persistent softness in market demand. Gross margin reached 27.0%, which SNDL said was a quarterly record, while operating income declined 8.4% to $6.0 million, driven by lower revenue, increased promotional support and higher SG&A expenses associated with recent Wine and Beyond store openings, partly offset by margin expansion. The company, which describes itself as Canada’s largest private-sector liquor retailer, operated 165 liquor stores as of October 26, 2026, predominantly in Alberta: 130 Ace Liquor, 19 Liquor Depot and 16 Wine and Beyond locations.
Cannabis Operations revenue fell 27.7% to $27.0 million, with the company attributing most of the decline to its exit from the unprofitable domestic dried flower category and an increased focus on higher-value products. The segment posted a gross loss of $1.6 million and an operating loss of $64.7 million, including the $52 million goodwill impairment, which the company said reflects current business trends, and $6 million in other impacts, mostly inventory adjustments related to the dried flower exit and Jeeter cost variances. During the quarter, SNDL reduced the workforce at its Kelowna manufacturing facility by more than 30% and said the profit-and-loss benefits of the cost reductions are expected to begin contributing in the fourth quarter.
George also announced that SNDL is initiating a strategic review of the Cannabis Operations segment to assess opportunities to improve its financial performance. “The review will consider a range of strategic and operational alternatives, from potential asset divestitures to larger productivity initiatives,” he said.
Investments and Capital Returns
As of September 30, 2026, SNDL’s portfolio of cannabis-related investments had a carrying value of $485.2 million, including $467.7 million to SunStream Bancorp Inc. The carrying value increased by $70.0 million during the quarter, primarily to fund the buildout of a cultivation facility in Gainesville, Florida, SNDL’s participation in Parallel’s rights offering, and the purchase of an incremental portion of Parallel’s debt.
The restructuring of Surterra Holdings Inc., known as Parallel, was completed on July 27, 2026, giving SNDL indirect majority economic exposure and, the company said, reducing Parallel’s debt burden by approximately US$842 million. A subsequent rights offering in which other minority holders declined to participate increased SNDL’s indirect equity interest from approximately 67% to approximately 92%. SNDL also financed SunStream’s purchase of an additional portion of Parallel’s takeback debt at 75% of face value, raising SunStream’s debt ownership from 39.4% to 69.4%. The Investments segment generated $7.9 million of operating income in the quarter, including $6.9 million from SNDL’s share of profit from SunStream’s equity-accounted investees, primarily reflecting an increase in the valuation of Parallel.
SNDL said it continues to evaluate a pathway to directly own and consolidate Parallel’s qualifying U.S. medical cannabis operations while maintaining compliance with applicable Nasdaq requirements, with adult-use exposure expected to remain outside its consolidated operations. The company said it expects to provide further clarity as the structure and timing are finalized, subject to applicable legal, regulatory, accounting and Nasdaq requirements.
The release also updated two U.S. legal and regulatory matters. According to the release, the U.S. Department of Justice and the Drug Enforcement Administration issued an order on April 23, 2026, placing Food and Drug Administration-approved cannabis products and qualifying state-regulated medical cannabis in Schedule III of the Controlled Substances Act while initiating an expedited administrative process to consider broader rescheduling of cannabis, including adult-use cannabis, from Schedule I to Schedule III. The administrative hearing concluded in July 2026, with a final determination on broader rescheduling still pending. In the previously disclosed Skymint restructuring process, the Michigan Supreme Court agreed on April 1, 2026, to hear oral argument on applications for leave to appeal; the court has not reached a decision on the merits, and SNDL said timing and outcomes remain uncertain.
SNDL closed the quarter with $617.8 million of unrestricted cash, marketable securities and investments and no outstanding debt, resulting in a net book value of $1.0 billion. During the quarter the company repurchased 5,431,300 common shares at a weighted average price of US$1.31 per share. Year-to-date through October 22, 2026, it had repurchased 23,088,153 common shares, leaving 243,320,644 shares outstanding.
The board has directed management to pursue a potential substantial issuer bid of up to C$50 million at a price per share not exceeding C$1.92 (US$1.35), which the company said could reduce shares outstanding by more than an additional 10% if completed and fully subscribed at the maximum price. The company described the potential bid as recently announced. (Related coverage: share consolidation.) Subject to board approval, SNDL said it expects to renew its share repurchase program upon its expiration on November 20, 2026, supported by continued free cash flow and potential targeted asset sales, including non-core real estate and other operating assets.
SNDL scheduled a conference call and webcast presentation for 10:00 a.m. EDT on October 27, 2026.
