Organigram Wraps Sanity Integration and Targets $8M to $10M in Savings

Organigram Global (OGI ) Inc. on October 15, 2026 announced the completion of its integration of Sanity Group GmbH under a unified global operating model, a reorganization the company expects to deliver annualized run-rate cost savings of $8 million to $10 million in Fiscal 2027. The actions follow a comprehensive review of Organigram’s organization and operations and include a series of operating efficiencies concentrated in the company’s Canadian business.
The company expects the savings to comprise approximately $4.5 million to $5.5 million in selling, general and administrative (SG&A) expenses and approximately $3.5 million to $4.5 million in operating costs. Savings are expected to reach $5 million to $6 million in fiscal 2027 as the changes are phased in through the fiscal year, with the full annualized benefit expected to be reflected in fiscal 2028. One-time costs associated with the integration work are expected to be $2 million in Fiscal 2027.
“At our Investor Session, I said that Canada is our foundation, that we need to improve its profitability, and that every dollar we invest has to earn its place,” said James Yamanaka, Chief Executive Officer of Organigram. “Today’s actions deliver on that. We expect them to lower our cost base and improve the profitability of our business, and operating as a unified global enterprise gives us clearer accountability and a structure that can scale.”
The New Operating Structure
Under the unified model, the Finance, Legal, People & Culture and Technology functions will operate globally under common standards for financial reporting, technology, data and regulatory oversight, with regional points of contact. A single Global Operations organization, led by newly appointed Chief Operating Officer Adrian Frenzel, brings production, quality, supply chain and cost control together in one department, with sites managed centrally for consistent execution and scalable efficiency. Commercial Canada and Commercial Rest of World teams will each hold end-to-end ownership of brand, portfolio, pricing, go-to-market and profitability, separating Canadian adult-use growth from international and medical growth while keeping deep regional expertise. A centralized Global Innovation and R&D function, including the Product Development Collaboration with BAT, will report directly to the Chief Executive Officer, while the Canada and Rest of World teams each own product development and execution in their markets.
“Bringing operations together under one accountable structure gives us a clear line of sight from cultivation through to the finished product,” Frenzel said. He said that as the company simplifies production flows, increases automation and standardizes processes across its production sites, it expects lower unit costs, more consistent quality and stronger gross margins over time in its operations, and that it will continue looking for further efficiency opportunities.
Brand and Portfolio Changes
In parallel, Organigram plans to discontinue three brands and trim the SKU assortment across its remaining portfolio in Fiscal 2027. Investment will be concentrated behind the company’s three core brands: SHRED, BOXHOT and Big Bag O’ Buds. The company expects the simpler portfolio to reduce manufacturing complexity, working capital and overhead costs and to support further gross margin improvement. The announcement did not identify the three brands to be discontinued.
The company described the unified operating model as the next step in a program outlined at its 2026 OG Investor Session on September 30, 2026, where management detailed four strategic pillars: a rock-solid Canadian business, international expansion, manufacturing excellence and innovation, and disciplined capital allocation. Management also said it saw opportunities to reduce total SG&A while improving gross margin over time. In the third quarter of fiscal 2026, SG&A as a percentage of net revenue declined to approximately 31%, its lowest level in at least two years, according to the company.
The update follows Organigram’s August 20, 2026 announcement that it was accelerating the integration of Sanity Group, which the company described at the time as one of the leading players in Germany’s medical cannabis market. To enable that step, Organigram amended the share purchase agreement governing the acquisition, which had required Sanity to operate on a standalone basis during a 12-month earnout period, and replaced the original performance-based earnout with a fixed earnout set at 85% of the original maximum value. The earnout consists of €20 million in cash, with the remaining consideration, net of Organigram’s pre-acquisition interests and certain other deductions, of approximately €76 million payable in Organigram shares. The earnout becomes payable as of April 1, 2027, with payment to occur no later than May 1, 2027. The August announcement also appointed Finn Age Hänsel as President, Rest of World & Chief Strategy Officer and Adrian Frenzel as Global Chief Operating Officer, with Tim Emberg continuing to serve as President, Canada. Sanity contributed approximately CAD$40 million to consolidated net revenue in Organigram’s most recent quarter as of that announcement, representing over 35% of net revenue, and was accretive to Adjusted EBITDA, the company said at the time.
